This website is operated by The Compass Core Ltd. Throughout the site, the terms “we”, “us” and “our” refer to The Compass Core Ltd. We offer this website, including all information, tools, digital products, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site, purchasing a digital product, or booking an audit service, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

SECTION 1 - PROFESSIONAL STATUS DISCLOSURE & NATURE OF ADVICE

  • Credentials & Expertise: The director of The Compass Core Ltd holds a Bachelor of Laws (LLB) degree and a Postgraduate Certificate in Education (PGCE), bringing over 25 years of vocational and operational expertise within the education and retail sectors to this consultancy practice.

  • Legal Status Clarification: You explicitly acknowledge and understand that while our director holds an academic law degree, we are not a law firm, and our personnel are not qualified, practicing solicitors or barristers.

  • No Legal Counsel: The audits, digital playbooks, checklists, and consulting sessions provided on or through this platform represent practical, operational, and educational business guidance. They do not constitute formal legal counsel, statutory legal representation, or formal legal advice. No solicitor-client relationship is created. The Client retains full operational and legal responsibility for how they choose to implement any guidance provided.

SECTION 2 - SCOPE OF AUDITS & LIMITATION OF INFORMATION LIABILITY

  • Reliance on Client Data: Any business audit delivered by us (whether in-person or via Zoom) is conducted in good faith, relying entirely on the information, documents, workflows, and declarations made available by the Client.

  • Information Integrity: We are under no obligation to independently verify, cross-examine, or legally audit the truthfulness or completeness of the documentation or information provided by the Client.

  • Exclusion of Liability: We shall not be held liable or legally responsible for any regulatory compliance gaps, omissions, errors, or subsequent legal penalties faced by the Client that result from inaccurate, incomplete, misleading, false, or withheld data during the auditing process. You are strictly legally bound by the information you provide us.

SECTION 3 - SERVICE BOOKINGS & THE THREE-STAGE PAYMENT STRUCTURE

When booking a professional audit service through our storefront, you explicitly agree to our mandatory three-stage payment framework:

  • Stage 1 (Booking Deposit): A non-refundable fee equal to 25% of the total service cost is due immediately at checkout to secure your calendar slot.

  • Stage 2 (Completion Fee): A second payment equal to 25% of the total service cost is due immediately upon the conclusion of the live audit session (the wrap-up of the on-site visit or Zoom call).

  • Stage 3 (Final Balance): The remaining 50% balance must be paid and cleared in full within 7 calendar days following the live audit date.

  • Strict Withholding Policy: Your final customized written report, compliance feedback, and actionable checklists will only be securely released to you once the Stage 3 (50%) payment has been received and cleared in full. We reserve the right to pause delivery indefinitely until the account is settled.

SECTION 4 - INTELLECTUAL PROPERTY & PERMITTED USE

  • Ownership: All intellectual property rights, proprietary templates, diagnostic frameworks, copywriting, text, images, and materials utilized or created by us on this website or within our digital downloads remain the exclusive property of The Compass Core Ltd.

  • Single-Business License: When you purchase a digital copy (playbook, template, checklist) or receive an audit report, you are granted a non-exclusive, non-transferable, single-user license for use within your single business entity only.

  • Strict Prohibitions: You are strictly prohibited from copying, reselling, sharing, renting, or distributing our digital assets, frameworks, or feedback to third parties, networks, or other business owners. You may not use our intellectual property to provide commercial auditing or consulting services to your own clients.

SECTION 5 - GEOGRAPHIC LIMITS, ENVIRONMENT, & PUNCTUALITY

  • West Yorkshire Service Zone: In-person, on-site audits are strictly bound to physical premises located within the West Yorkshire region. Unauthorized physical bookings made outside this boundary will be automatically converted to virtual Zoom sessions or cancelled under our Refund Policy.

  • Punctuality: Audits will commence strictly at the scheduled time confirmed during booking. Delays caused by the Client will not extend the duration of the session beyond the originally scheduled end time.

  • Physical Site Safety: For on-site audits, the Client must provide a clean, safe, and professional working environment complying with all UK health and safety regulations. We reserve the right to walk away from a physical premises immediately if the environment is deemed unsafe, inappropriate, or hostile, with no obligation to refund the deposit.

SECTION 6 - COMPLETE LIMITATION OF LIABILITY

To the maximum extent permitted by law, the total liability of The Compass Core Ltd to the Client for any claims, losses, damages, or expenses arising out of any website use, digital purchase, or consulting audit—whether in contract, tort, or breach of statutory duty—shall be strictly limited to the total monetary amount actually paid by the Client to us under that specific order.

SECTION 7 - GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of England and Wales.
